FBN Holdings says unaware of any court order over appointment of GMD

As a Federal High Court granted an ex parte order against FBN Holdings Plc and other Respondents, the management of the financial institution on Monday said it remained unaware of any lawsuit or court order.
Acting Company Secretary, FBN Holdings, Adewale Arogundade, responding to an ex parte order on the appointment of Mr. Nnamdi Okonkwo as the Group Managing Director and Mr. Julius Omodayo Owotuga as non-Executive Director, said: “FBN Holdings remained unaware of any lawsuit or court order against it until 3pm today (Monday) when a copy of same was served on it.”
Justice Akintoye Aluko last Friday granted the order following an exparte application filed by an aggrieved shareholder of the financial institution, Mr. Olusegun Onagoruwa, who alleged that the affairs of the bank were being run illegally.
The applicant, through his lawyer, Mr. Ebun-Olu Adegboruwa (SAN), asked the court to set aside the resolutions reached at the just-concluded Annual General Meeting (AGM) of the 1st respondent (FBN Holdings Plc) held on Monday, June 20, 2022.
Arogundade in a statement on the Nigerian Exchange Limited (NGX) said: “Without prejudice to the said court order, FBN Holdings confirms that the subject AGM was duly and validly held with all requisite regulatory and statutory parties in attendance.
“FBN Holdings has briefed its lawyers to review the said exparte order to ensure its full representation in court on July 22, 2022 to which same was adjourned.”
He reassured investing public, and other stakeholders of the management’s effort to discharge its responsibilities in compliance with regulatory authorities in the manner expected of a company listed on the premium Board of NGX.
